Basic Policy for Compliance
Activities concerning ethics and
compliance
Iwaki is dedicated to fulfilling its responsibilities to society and
conducting sound business operations that comply with laws and
regulations. The Basic Policy for Compliance defines specific measures
concerning ethics and compliance.
1. Compliance with laws and regulations and social guidelines
Iwaki conducts business operations properly by complying with laws and
regulations, the Articles of Incorporation, internal rules and other
guidelines and by strictly observing social guidelines for behavior
and standards for corporate ethics.
2. Elimination of anti-social forces

Iwaki rejects any relationship with anti-social forces and any
improper requests from anti-social forces.

Iwaki clearly states its opposition to any relationship with
anti-social forces by using measures that include provisions
rejecting anti-social forces in contracts, rules, memorandums and
other documents.

Iwaki uses civil and criminal laws to respond to improper requests
from anti-social forces in order to reject these requests regardless
of the nature of the request.

Iwaki maintains close relationships with many external organizations
and individuals involved with anti-social forces. Examples include
police departments, the Police Special Violent Crime Prevention
Federation, regional violent crime prevention associations,
attorneys, and others. Iwaki also cooperates with the activities of
national and regional associations for the elimination of
anti-social forces.

When implementing measures for eliminating anti-social forces, there
are precautions to ensure the safety of executives and others
involved with these measures.
3. Unrestricted competition and fair business transactions

Iwaki conducts business operations properly by complying with
national and local laws and regulations about the fairness of
competition and business transactions.

Iwaki refuses to engage in any activities that restrict business
transactions, such as holding discussions with a competitor in Japan
or other country for the purpose of secretly determining product
prices, sales volumes, sales methods, customers, sales regions, the
timing of sales and other aspects of these transactions.

Iwaki is open to all prospective customers in Japan and other
countries and does not offer transaction terms to a particular
customer that are better than terms offered to other customers. To
contribute to sustainable social progress, Iwaki provides customers
with information about its compliance, human rights, environmental
and other policies and programs and asks for their cooperation.

Iwaki complies with confidentiality laws and regulations concerning
transactions with customers and is committed to protecting customers
in accordance with guidelines for sound business practices.
4. Respect for intellectual property rights
Iwaki has numerous measures for the appropriate protection, management
and use of its intellectual property rights. There are also measures
to respect the intellectual property rights of others and prevent any
infringement of these rights.
5. Respect for human rights
Iwaki respects internationally recognized human rights and is
dedicated to preventing discrimination and human rights violations of
any kind.
6. Environmental measures
Iwaki is aware of the effects of business operations on the
environment and has many programs for reducing its environmental
impact.
7. Prohibition of bribery of government officials and others
Iwaki never seeks additional benefits from government employees by
using bribes or other methods. In addition, Iwaki personnel are
forbidden from providing benefits, such as entertainment or gifts, to
government employees in Japan and other countries. Iwaki personnel
will firmly reject any request from a government employee in Japan or
other countries for some type of benefit.
8. Prohibition of bribery of individuals other than government
employees
Iwaki never seeks additional benefits by using a bribe or other
improper method. Entertainment, gifts and other activities involving
transactions with individuals other than government employees are
allowed within an appropriate range in compliance with local laws and
in accordance with generally accepted guidelines.
9. Prohibition of receipt of entertainment and gifts
Iwaki personnel are forbidden from requesting or accepting
entertainment, gifts and other benefits from customers that exceed
generally accepted guidelines for courtesies. In addition, improper
business activities that benefit an employee’s family, other
relatives, friends or others are forbidden and requests or the
acceptance of entertainment, gifts or other items for this purpose are
prohibited.
10. Education and training and workplace environment

Iwaki continuously offers periodic education and training programs
for executives and employees for the purpose of reinforcing their
awareness of and commitment to corporate ethics and compliance with
laws and regulations.

Iwaki provides safe and pleasant workplace environments that include
the respect for the characteristics of each individual.
11. Management of security export control
To contribute to peace and security in the world, Iwaki manages trade
activities with respect to security export control in order to comply
with all applicable laws, regulations and other restrictions.
12. Activities for the appropriate disclosure of information
Iwaki discloses information quickly and in a timely manner based on
the policy of ensuring transparency and fairness as prescribed in the
Financial Instruments and Exchange Act and other laws and regulations
and in the timely disclosure rules of the Tokyo Stock Exchange. In
addition, Iwaki provides as much as possible information that is not
required by laws and the timely disclosure rules but is believed by
Iwaki to be needed to increase the public’s understanding of company.
13. Quality and safety of products

Iwaki is dedicated to supplying products and services with
outstanding quality and safety that comply with laws and
regulations, customers’ demands, and Iwaki’s own standards. Iwaki
has a quality assurance system and is constantly improving this
system.

When an accident or other incident occurs, Iwaki quickly collects
information in order to respond in a suitable manner.
14. Information security

Iwaki strictly complies with laws and regulations, rules,
guidelines, contractual requirements, and other social standards
related to information security.

Iwaki has an information security management system and data
infrastructure that include measures for preventing the losses,
leaks, alterations and unauthorized access. Many activities are used
to protect data assets and the authority and responsibilities
concerning the handling of this information employees are clearly
defined.
